Describe the grant precisely
What records, dates, uses, recipients, territory and duration are covered? Can the counterparty create derivatives or sublicense? Are evaluation and training both permitted? Define reserved rights and prohibited uses.
Protect the payment mechanics
Who pays, in what currency, at which milestone? How long does acceptance take, who decides, and what evidence is required? What costs or deductions reduce the amount? Request clarity on reporting and audit rights for contingent payments.
Make exclusions operational
Name restricted clients, records, projects and fields, and define how exclusions are enforced in the export. Avoid a promise that depends on an impossible separation. Agree who verifies the final package and who pays for rework.
Plan for the end
What happens at expiration, termination, insolvency or a change of control? Which copies must be deleted and which rights survive? Ask how trained models, derived datasets and prior sublicenses are treated. Take material uncertainties to counsel before signing.
